Terms of Service

These Terms of Service ("Terms") govern your use of Plattenite's content analytics platform and related services ("Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Description of the Service

Plattenite provides content analytics to help you understand how readers engage with your content. The Service includes: collection of engagement data (e.g. reading time, scroll depth, completion) via a script or plugin on sites you control; processing and storage of that data; AI-powered insights and summaries; dashboards and reports; and optional email digests. We may update or discontinue features with reasonable notice where practicable.

2. Account and registration

You must provide accurate, current, and complete information when registering and keep your account information updated. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must notify us promptly of any unauthorized access or use.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. Accounts may be subject to verification.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

  • Use the Service in violation of any applicable law or regulation
  • Use the Service to collect or process personal data from end users without a lawful basis and without providing required notices (e.g. privacy policy, cookie disclosure)
  • Attempt to gain unauthorized access to our systems, other accounts, or any data not intended for you
  • Interfere with or disrupt the Service or our infrastructure
  • Use the Service to send spam, distribute malware, or engage in fraud
  • Resell or sublicense the Service in a manner that competes with our offering unless we agree in writing
  • Reverse engineer, decompile, or attempt to derive source code from the Service except where permitted by law

We may suspend or terminate your access if we reasonably believe you have violated these Terms or pose a risk to the Service or others.

4. Your data and privacy

Our Privacy Policy describes how we collect, use, and protect your data and data we collect on your behalf (e.g. reader engagement). You agree to that policy. You are responsible for ensuring that your use of the Service—including any data you have us collect from your site visitors—complies with applicable privacy laws (e.g. GDPR, CCPA) and that you have provided any required notices and obtained any required consent.

5. Payment and subscription

Paid plans are billed in advance (e.g. monthly or annually) according to the plan you select. Fees are non-refundable except where required by law or as stated in our refund policy. We use Stripe for payment processing; by subscribing you agree to Stripe's terms and our billing policies. We may change fees with reasonable notice; continued use after a fee change constitutes acceptance. Failure to pay may result in suspension or termination of the Service.

Free trials (if offered) are subject to the terms stated at signup and may convert to a paid subscription unless you cancel before the trial ends.

6. Intellectual property

We own or license the Service, our brand, and the technology underlying Plattenite. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms. You retain ownership of your content and data; you grant us the rights necessary to provide the Service (e.g. to process, store, and display your data and to generate insights). You may not use our trademarks or branding without our prior written consent.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. INSIGHTS AND RECOMMENDATIONS ARE INFORMATIONAL ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLATTENITE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Plattenite and its affiliates and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any law; (c) your content, data, or sites; or (d) any dispute between you and a third party relating to the Service or your use of it. We will notify you of any such claim and cooperate in the defense at your expense.

10. Termination

You may cancel your account at any time through the account settings or by contacting us. We may suspend or terminate your access immediately if you breach these Terms or for operational or legal reasons, with notice where practicable. Upon termination, your right to use the Service ceases. We may retain and use your data as described in our Privacy Policy (e.g. for legal or support purposes). Sections that by their nature should survive (e.g. disclaimers, limitation of liability, indemnification, governing law) will survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in these Terms limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction.

12. Changes to the Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes we may notify you by email or through the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your account.

13. General

These Terms, together with our Privacy Policy and any order or plan terms, constitute the entire agreement between you and Plattenite regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
